Avenue 4 and Altitude Capital Group

Avenue 4 Capital Management Inc. (“Avenue 4”) and Altitude Capital Group LLC (“Altitude”) are separate legal entities under common ownership and management by Michael DiMeo. Their responsibilities differ, and an engagement with one firm does not by itself establish an engagement with the other.

Avenue 4 manages privately offered special purpose investment vehicles (SPVs). Avenue 4 is not a registered broker-dealer or a registered investment adviser.

Altitude is a registered broker-dealer and member of FINRA and SIPC. Securities placement and brokerage services, where applicable, are provided through Altitude. Altitude may act as placement agent for investment vehicles managed by Avenue 4. The applicable offering and account documents identify the parties, services and terms for each relationship.

Compensation and potential conflicts

Common ownership and management can create actual or potential conflicts of interest. Avenue 4 may receive management fees or other compensation from the vehicles it manages, while Altitude and its registered representatives may receive placement fees, commissions or other compensation in connection with an offering or transaction.

These arrangements can create financial incentives to raise capital for, recommend or offer Avenue 4-managed vehicles. Fees, expenses and conflicts vary by offering. Review the applicable private placement memorandum, subscription agreement, governing documents and Altitude disclosures before investing. Ask your representative to explain the capacity in which they are acting and how each firm is compensated.
